Welcome to AirMasters DIRECT, a trading name operated by LTA Air Conditioning.

AirMasters DIRECT operates this store and website in order to provide you, as a professional customer, with a purchasing experience tailored to your needs (the “Services”). AirMasters DIRECT uses the Shopify platform, which enables us to provide the Services.

Our store is exclusively intended for professional customers (B2B). By placing an order, you declare that you are acting in the course of your professional or business activities and that you are not a consumer within the meaning of Article 1110 of the Luxembourg Civil Code, nor a natural person entering into a contract that is not directly related to your professional activities or that is not of a professional nature with respect to you.

The terms and conditions below (the “Terms of Service” or “Terms”) describe your rights and responsibilities when using the Services. Please read them carefully. By using our Services, you agree to be bound by these Terms and our Privacy Policy [LINK].

ARTICLE 1 – ACCESS AND ACCOUNT

By accepting these Terms, you declare that you are acting in a professional capacity and are duly authorised to bind your company. You warrant that all information provided is accurate, current and complete, including information relating to your company and your EU VAT identification number, where applicable.

You are solely responsible for maintaining the security of your account credentials. You may not transfer, sell or assign your account to another person.

ARTICLE 2 – OUR PRODUCTS

We have made every effort to display our products and services as accurately as possible. Product colours or appearance may differ from what is displayed on your screen depending on your device. All product descriptions are subject to change at any time without notice. We reserve the right to discontinue any product at any time and may limit the quantities offered by region or jurisdiction.

ARTICLE 3 – ORDERS

When you place an order, you are making an offer to purchase. AirMasters DIRECT reserves the right to accept or reject your order for any reason. Your order will only be deemed accepted once AirMasters DIRECT has issued written confirmation.

By ticking the box confirming your acceptance of these Terms, you expressly declare that you are not a consumer within the meaning of Article 1110 of the Luxembourg Civil Code and that you are acting exclusively in the course of your professional or business activities.

As a professional customer, you acknowledge that the 14-day right of withdrawal applicable to consumers does not apply to your purchases. Returns are subject to our Refund Policy.

You represent and warrant that your purchases are intended for professional use in connection with your business activities.

ARTICLE 4 – PRICING AND BILLING

Prices are subject to change without notice. Unless expressly stated otherwise, all displayed prices are exclusive of taxes (VAT excluded). Applicable VAT will be calculated according to your country of establishment and in accordance with applicable regulations. Professional customers established in the European Union who have a valid EU VAT identification number may be eligible for the reverse-charge mechanism in accordance with applicable rules.

You agree to provide accurate and complete payment information and undertake to keep such information up to date.

ARTICLE 5 – SHIPPING AND DELIVERY

We cannot be held responsible for delivery delays. All stated delivery times are estimates. We accept no liability for delays caused by carriers, customs formalities or any event beyond our control. Once the products have been handed over to the carrier, title to and risk of loss of the products are transferred to you.

ARTICLE 6 – INTELLECTUAL PROPERTY

Our Services, including all trademarks, text, images, graphics and content, are the exclusive property of AirMasters DIRECT or its licensors and are protected by applicable intellectual property laws.

These Terms authorise you to use the Services solely in connection with your professional or business activities. Any unauthorised reproduction, distribution or exploitation is prohibited.

ARTICLE 7 – OPTIONAL TOOLS

As part of the Services, you may be provided with access to tools offered by third parties over which we have no control. We provide access to such tools on an “as is” basis and without any warranty. Your use of such tools is entirely at your own risk.

ARTICLE 8 – THIRD-PARTY LINKS

The Services may contain links to third-party websites. We are not responsible for their content. If you access such websites, you do so at your own risk.

ARTICLE 9 – RELATIONSHIP WITH SHOPIFY

AirMasters DIRECT is powered by Shopify. All sales are made directly between you and AirMasters DIRECT. Shopify shall not be liable for any aspect of transactions between you and AirMasters DIRECT.

ARTICLE 10 – PRIVACY POLICY

All personal information collected through the Services is subject to our Privacy Policy [LINK] and Shopify’s Privacy Policy. By using the Services, you acknowledge that you have read these policies.

ARTICLE 11 – FEEDBACK

If you submit ideas, suggestions or feedback to us, you grant us a perpetual, worldwide licence to use them for any purpose. You warrant that you have all necessary rights in and to such content.

ARTICLE 12 – ERRORS, INACCURACIES AND OMISSIONS

The Services may occasionally contain typographical errors, inaccuracies or omissions. We reserve the right to correct such errors and to modify information at any time without prior notice.

ARTICLE 13 – PROHIBITED USES

You may access and use the Services solely for lawful and professional purposes. Prohibited uses include, in particular, any unlawful use, infringement of intellectual property rights, transmission of malicious content, impersonation, and the use of unauthorised automated tools.

ARTICLE 14 – AGENTS

No autonomous software agent may access the Services without identifying itself in accordance with the technical requirements set out in Article 14.4 of the original template.

We reserve the right to terminate your access to the Services at any time and without prior notice. You will remain liable for all amounts due up to and including the date of termination.

If any provision of these Terms is found to be unenforceable, that provision shall be severed without affecting the validity or enforceability of the remaining provisions.

ARTICLE 20 – WAIVER; ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and AirMasters DIRECT and supersede any prior agreements relating to the Services.

ARTICLE 21 – ASSIGNMENT

You may not assign or transfer this agreement without our prior written consent. We may assign or transfer this agreement without your consent.

ARTICLE 22 – GOVERNING LAW

These Terms shall be governed by and construed in accordance with Luxembourg law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Luxembourg.

ARTICLE 23 – HEADINGS

The headings used in these Terms are included for convenience only and shall not affect their interpretation.

ARTICLE 24 – CHANGES TO THE TERMS OF SERVICE

We reserve the right to amend these Terms at any time. Any changes will take effect upon publication. Your continued use of the Services following publication of the amended Terms constitutes your acceptance of such changes.
